Natural Direction – Terms and Conditions for Training Services

DEFINITIONS:

“Agreement” means these terms and conditions and (depending on the type of Training Services)

“Booking Form” obtained by the Client from Natural Direction’s website (which is applicable only for open training programmes).

“Charges” means the charges for the Training Services set out in the Booking Form or the Proposal.

“the Client” means the client identified in the Booking Form or the Proposal.

“the Date(s) for the Training Services” means the date(s) upon which the Training Services are to take place as set out in the Booking Form or the Proposal.

“Delegates” means the numbers of the Client’s staff who are to receive the Training Services as set out in the Booking Form or the Proposal.

“Expenses” means expenses incurred in respect of travel and accommodation as identified in a Proposal.

“Natural Direction ” means Natural Direction Limited

“Proposal” means the proposal for Training Services

“the Trainer” means the person delivering the Training Services.

“the Training Location” means the place at which the Training Services are to be provided by Natural Direction as set out in the Booking Form or by the client as set out in the Proposal.

“Training Services” means the training services set out in the Booking Form or the Proposal.

TRAINING SERVICES AND LOCATION

 

Natural Direction shall provide the Training Services on the Date(s) for the Training Services and in accordance with these terms and conditions.

COURSE CONTENT:

The course overviews provided by Natural Direction are designed as a guide to what is covered in the course. Whilst we try and stick fairly closely to the overviews, we do not guarantee that every single item listed will be covered in every class, and the trainers are given some flexibility in what they cover based on what they feel will best accommodate the group ability, size and requirements.

It is the responsibility of the delegates’ organisation to ensure that the delegates understand the course objectives and meet the specified course pre-requisites.

EQUIPMENT:

Unless otherwise agreed, the customer will be responsible for the provision and set up of all equipment including computer hardware and software, for the trainer and delegates, for any training conducted on their premises.

MATERIALS AND COPYRIGHT:

All material supplied by Natural Direction Limited remains the copyright of Natural Direction Limited and no copies may be made without prior written agreement.

TRANSFERS, CANCELLATION AND POSTPONEMENT

If a Delegate identified in a Booking Form wishes to cancel or transfer to another course,

OR

The client wishes to cancel a training course identified in the Proposal, the following fees shall be due:

Days notice of cancellation / transfer prior to the commencement of the Training Services: % of Charges to pay
42 working days plus

25%

41-22 working days

50%

21 working days or less

100%

Plus:  any charges for completed pre-course design work identified in the Proposal

100%

A substitute delegate may be provided at no cost.

DELEGATES

 

Delegates shall act reasonably throughout the training. Natural Direction may remove a Delegate from a course, where, in the opinion of the Trainer, which shall be final, the Delegate is behaving unreasonably.

 

CHARGES AND PAYMENT

The Charges for Training Services which are subject to a Booking Form are payable before the commencement of the course, unless agreed otherwise.

The Charges for the Training Services which are subject to a Proposal and related Expenses shall be due upon completion of the Training Services and payable within 15 days of the date of Natural Direction’s  invoice.

Natural Direction reserve the right in accordance with the Late Payment of Commercial Debts Act 1998 to charge interest at 8% above the Bank of England base rate per day for late payments of all debts

INSURANCE

The parties shall carry public liability insurance for a minimum amount of one million pounds for each and every claim and shall provide evidence of this cover upon reasonable request.

CONFIDENTIALITY

The parties shall treat as and keep confidential all information whether of a technical, commercial or any other nature relating to the other party and shall not, during the period of this Agreement, or at any time after its termination, divulge any such information to any person not authorised by the divulging party to receive it and shall not utilize any secret or confidential knowledge or information acquired in connection with this Agreement to the detriment or prejudice of the other party or use the same for any purposes save for the purposes of this Agreement.

DATA PROTECTION

The Client shall ensure that it has in place all necessary consents in connection with Personal Data to allow Natural Direction at all times to perform the Training Services without infringing any third party rights

HEALTH AND SAFETY

The parties shall comply with all applicable health and safety legislation and codes of practice.

NON-SOLICITATION

The Client shall not during the term of this Agreement and for 6 months thereafter, entice or solicit for employment with it or any other entity any Trainer who has been engaged to provide the Training Service
